What You're Getting Access To
DREXIFY — AI Business Operating System

DREXIFY is Ernest's proprietary AI system built on top of Claude (Anthropic). It combines a Senior Social Media Strategist, Lead Generation Specialist, Creative Director, Automation Architect, and Personal Business Assistant into one system. It has been trained, configured, and refined specifically for building and operating businesses — including outreach, content, automation, software development, sales systems, and operations.

Claude Code + Full Tech Stack

Access includes the ability to build real software products, deploy them to live servers, integrate payment systems, and automate business operations — the same stack used to build DREXIFY.

Direct Mentorship & Strategy

Ernest will work with you directly through the system to help you build, launch, and grow your business idea using AI automation.

Role & Weekly Workload
Ernest Espinosa — Founder & System Architect (70%)
Full time · Builds, runs, and grows the entire operation
Weekly Responsibilities
Build, maintain, and improve the full AI agent stack — all 36 agents running across client accounts
Support partners on complex deals — jump in on calls when needed and handle edge cases
Onboard every new client — configure their stack, set up integrations, and deploy their agents
Manage billing, contracts, and client relationships long-term — once a client is signed, Ernest owns the account, maintains the relationship, and ensures everything keeps running smoothly
Direct all partners — assign targets, review output, unblock issues, and run weekly syncs
Handle product strategy, pricing, new feature development, and business direction
What a Typical Week Looks Like
Mon (2–3 hrs) — Review partner activity, assign weekly targets, check agent logs
Tue–Wed (3–4 hrs) — Join sales calls, close deals, onboard new clients
Thu (2–3 hrs) — Build or improve agent stack, fix issues, deploy updates
Fri (1–2 hrs) — Review all partner reports, plan next week, handle billing

5–10 hrs/week · Goal: zero downtime, zero data breaches
Weekly Tasks
Monitor server uptime and API health — flag anything that looks off before clients notice
Review security logs and watch for unusual access patterns or failed auth attempts
Keep dependencies and server packages updated — no outdated libraries sitting exposed
Confirm database backups are running and client data is protected at rest and in transit
Report a weekly tech status summary to Ernest — green/yellow/red on each system
Be available as technical backup when Noah is on a sales call — answer hard questions about how the system works, security, and data handling
What a Typical Week Looks Like
Mon (1 hr) — Check server logs, uptime reports, API response times
Wed (2–3 hrs) — Run security scan, review auth logs, update packages if needed
Thu (1 hr) — Verify backups, test restore if flagged, check Supabase RLS rules
Fri (30 min) — Send weekly status report to Ernest
🎯 30-Day Goal: Full security audit of the existing stack completed and documented. Known vulnerabilities patched. Monitoring dashboard or alert system in place.

5–10 hrs/week · Goal: 2 paying clients/month + consistent content presence
Weekly Tasks
Create and post content showcasing DREXIFY results — short-form video, LinkedIn posts, case study snippets
Identify 10–15 local service businesses to target each week and send personalized outreach via email, DM, or phone
Follow up with leads who don't respond within 48 hours — most deals close on the 2nd or 3rd touch
Run discovery calls and pitch the tech directly — walk prospects through what DREXIFY does and close the deal. Eliaz is available as technical backup for hard questions
Log every contact and outcome in the shared tracker — no guessing who's been reached
What a Typical Week Looks Like
Mon (1 hr) — Pull a list of 15 target businesses; plan this week's content post
Tue–Wed (2–3 hrs) — Send outreach messages; film/post content piece
Thu (1 hr) — Follow up on anyone who didn't reply
Fri (30 min) — Log results, note hot leads, prep next week's list
🎯 30-Day Goal: 2 paying clients signed + at least 4 pieces of content published. At Starter plan ($497/mo each), that's $99.40 commission + $149.10/mo equity in your pocket — recurring every month those clients stay.
Terms & Conditions
1. Scope of the Agreement

This agreement applies to any business, product, service, or revenue stream conceptualized, built, or launched with meaningful use of DREXIFY or this access. "Meaningful use" means the AI system played a role in ideation, development, sales, marketing, or operations.

2. Equity Definition

Ownership is split as follows: Ernest Espinosa — 70%, Eliaz Alegre — 15%, Noah Sparks — 15%. This reflects Ernest's contribution of the full technology stack, ongoing development, AI infrastructure, and business strategy — which constitute the primary value-generating assets of any venture built under this agreement. Ernest's 70% entitles him to 70% of all net revenue, profit distributions, and proceeds from any sale, acquisition, or investment. Equity cannot be diluted without Ernest's written consent.

3. Confidentiality

You agree not to share, redistribute, or replicate the DREXIFY platform, its configuration, prompts, or methodology with any third party without Ernest's written permission. This includes screenshots, exports, or descriptions of how the system operates.

4. No Competing Use

You may not use this access to build a product or service that directly competes with DREXIFY (drexify.tech) or any existing DREXIFY product without Ernest's written consent.

5. Effort Expectation

Access is granted on the expectation of genuine effort. If you are inactive for 30+ days with no progress on a shared project, Ernest reserves the right to revoke access at his discretion.

6. Commission Structure

Any partner who directly sources a paying client for DREXIFY is entitled to a 20% sourcing commission on that client's first month of contract value. This commission is paid only after the client's first payment has cleared. "Directly sources" means the partner was the primary reason the client signed — introductions, outreach, or referrals initiated by the partner. Clients brought in by Ernest Espinosa do not qualify for partner commission. Commission is paid in addition to equity distributions and does not affect the equity split.

7. Governing Terms

This agreement is governed by the laws of the State of California. Any disputes will be handled first through direct negotiation, then mediation if necessary.

Important: This is a real business agreement, not a formality. By signing below you are acknowledging that Ernest Espinosa retains 70% equity in anything built using this access, with Eliaz Alegre holding 15% and Noah Sparks holding 15%. Do not sign if you do not fully understand or agree to these terms. Ask Ernest to clarify anything before signing.

Acknowledgment & Agreement

By completing this form you confirm that you have read, understood, and agree to all terms above. This constitutes a binding agreement between you and Ernest Espinosa.

After you submit, you'll receive a private link to share with Eliaz Alegre so he can add his signature to complete the agreement.
