Terms of Service

01 — Overview

These Terms of Service ("Terms") govern your use of DREXIFY AI automation systems and related services ("Services") provided by DREXIFY AI ("we", "us", or "our"), located in the Inland Empire, CA. By purchasing or using our Services, you agree to be bound by these Terms.

Please read these Terms carefully before engaging our Services. If you do not agree to these Terms, do not use our Services.

02 — Services & Deliverables

DREXIFY AI provides done-for-you AI automation systems ("Stacks") configured specifically for your business. Each Stack consists of multiple AI agents that automate business functions including but not limited to:

• Cold outreach and lead generation
• Lead recovery and follow-up sequences
• Content creation and scheduling
• Invoice management and reminders
• Appointment booking and calendar management
• Customer review management
• Daily business briefings
• AI voice reception and chatbot services

Setup is performed by DREXIFY AI within 5–7 business days of payment. Ongoing operation of your Stack is maintained on a monthly subscription basis.

03 — AI Disclosure

Our Services are powered by artificial intelligence, including large language models provided by third-party providers such as Anthropic (Claude). By using our Services, you acknowledge and agree that:

• AI outputs are not guaranteed. While we configure agents to perform accurately and professionally, AI-generated content — including emails, social posts, proposals, and call scripts — may occasionally contain errors, inaccuracies, or outputs that require human review.
• You are responsible for reviewing outputs. Any communication sent to your clients, leads, or contacts on your behalf via our agents remains your responsibility. We recommend periodic review of agent outputs.
• AI does not replace professional advice. Nothing generated by our agents constitutes legal, financial, medical, or other professional advice.
• Performance may vary. AI model behavior may change over time as underlying providers update their systems. We will adjust agent configurations as needed to maintain quality.

04 — Payment & Billing

All prices are listed in USD. Our billing structure is as follows:

• Monthly subscription: Billed on the same date each month, beginning 30 days after your stack goes live. Rates vary by Stack ($697–$2,497/mo depending on stack tier selected).
• No contracts: All subscriptions are month-to-month unless otherwise agreed in writing.

Payments are processed securely via Stripe. DREXIFY AI does not store your payment card information. By providing payment details, you authorize recurring charges at the agreed monthly rate.

If a payment fails, we will notify you via email and attempt to reprocess within 3 business days. Accounts more than 7 days past due may be suspended until payment is resolved.

05 — Cancellation & Refunds

Monthly subscriptions can be cancelled at any time. Cancellation takes effect at the end of the current billing period — you will not be charged for the following month. No partial refunds are issued for unused days within a billing period.

30-Day Performance Guarantee: If within the first 30 days you are not satisfied with the performance of your Stack, we will work with you to reconfigure the agents. If we cannot produce measurable results after a second optimization pass, we will issue a prorated refund for the current month.

06 — Data & Privacy

To operate your Stack, we require access to certain business data and third-party accounts including email, calendar, CRM, and phone services. You agree to provide accurate credentials and maintain the security of those accounts.

• We will not sell your data. We do not sell, rent, or trade your business data, client lists, or lead information to any third party under any circumstances.
• Third-party service providers. Operating your Stack requires data to flow through trusted third-party platforms (e.g., Anthropic for AI processing, SendGrid for email delivery, Google Calendar for scheduling, Supabase for secure data storage, Stripe for billing). Each provider operates under their own privacy policy and data protection standards. We use API-level access (not consumer products), which provides stronger data protections than consumer alternatives.
• AI model processing. Data sent to AI models (e.g., Anthropic Claude) is processed according to Anthropic's API data usage policy. Anthropic does not use API-submitted data to train models by default. We recommend reviewing Anthropic's privacy policy at anthropic.com/legal/privacy.
• Data ownership. You retain full ownership of all your business data, client information, and any content generated using your data.
• Data retention. Upon cancellation, we will securely delete your credentials and configuration data within 30 days.
• Security. We implement industry-standard security practices including encrypted credential storage, restricted access controls, and HTTPS-only data transmission.

07 — California Privacy Rights (CCPA)

If you are a California resident, the California Consumer Privacy Act (CCPA) grants you specific rights regarding your personal information. These rights include:

• Right to Know: You have the right to request that we disclose what personal information we collect, use, disclose, and sell about you.
• Right to Delete: You have the right to request that we delete personal information we have collected from you, subject to certain exceptions.
• Right to Opt-Out of Sale: We do not sell personal information. You have the right to opt out of the sale of personal information, though this right is not applicable as we do not engage in such sales.
• Right to Non-Discrimination: We will not discriminate against you for exercising any of your CCPA rights.
• Right to Correct: You have the right to request correction of inaccurate personal information we hold about you.

To exercise any of these rights, contact us at team@drexify.tech. We will respond to verifiable consumer requests within 45 days as required by law. We may need to verify your identity before processing a request.

We collect the following categories of personal information for business operations: identifiers (name, email, phone), commercial information (services purchased, billing history), and internet activity (usage of our services). This information is used solely to provide and improve our Services.

08 — Limitation of Liability

To the maximum extent permitted by applicable law:

• DREXIFY AI is not liable for any indirect, incidental, consequential, or punitive damages arising from use of the Services.
• DREXIFY AI is not responsible for business decisions made based on AI-generated outputs, including outreach emails, proposals, content, or reports.
• DREXIFY AI is not liable for deliverability issues, spam filtering, or platform policy changes that affect agent performance (e.g., email providers, social media platforms).
• Our total liability to you for any claim arising from the Services is limited to the amount paid by you in the 30 days preceding the claim.

You agree to indemnify and hold DREXIFY AI harmless from any claims, damages, or expenses arising from your use of the Services in violation of these Terms or applicable law.

09 — Acceptable Use

You agree not to use our Services to:

• Send spam, unsolicited bulk messages, or communications that violate CAN-SPAM, GDPR, CCPA, or other applicable laws
• Generate or distribute deceptive, misleading, or fraudulent content
• Harass, threaten, or harm individuals
• Violate any applicable local, state, federal, or international law
• Impersonate another person or entity without authorization
• Reverse-engineer, resell, or sublicense the underlying AI systems or agent infrastructure

Violation of these terms may result in immediate suspension of Services without refund.

10 — Intellectual Property

Your content: You own all content generated by the agents using your business data, brand voice, and client information. This includes emails, social posts, proposals, scripts, and reports produced on your behalf.

Our systems: The underlying agent architecture, code, prompts, configurations, and workflows developed by DREXIFY AI remain the intellectual property of DREXIFY AI. You receive a license to use these systems for your business during the term of your subscription — not ownership of the systems themselves.

11 — Termination

Either party may terminate the Services at any time. DREXIFY AI reserves the right to terminate or suspend your account immediately, without notice, if you violate these Terms or engage in conduct we deem harmful to our business, other clients, or third parties.

Upon termination, your access to the Stack will be deactivated. Outstanding balances remain due. Provisions that by their nature should survive termination (including liability limitations and IP ownership) will survive.

These Terms constitute the entire agreement between you and DREXIFY AI regarding the Services and supersede any prior agreements. DREXIFY AI reserves the right to update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms. These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.
